Terms of Service

1. Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between Controlata (“Company”, “we”, “us”, “our”) and you (“Customer”, “you”, “your”) governing your use of the Controlata inventory management system (“Service”).
By accessing or using the Service, or by clicking “I agree” to these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Service Description
2.1. Controlata provides a subscription-based inventory management system designed for manufacturing businesses. The Service includes remote access via the Internet to the Controlata software application, system updates, and customer support.
2.2. The Service allows Customers to:
- Track inventory of materials and finished products
- Create and manage bills of materials
- Plan and manage production processes
- Track suppliers and purchases
- Manage customer orders and sales
- Conduct inventory audits
- Generate reports and analytics
- Manage multiple storage locations
- Calculate product costs
2.3. The Service is provided on an “as is” and “as available” basis. This means that the Customer independently determines how to use the Service and bears responsibility for the possible consequences of its use. Controlata does not guarantee that the Service will meet your specific requirements or expectations.
3. User Accounts
3.1. To access the Service, you must create an account and provide accurate, current, and complete information.
3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3. You agree to notify us immediately of any unauthorized access to or use of your account.
3.4. You may add team members to your account according to your subscription plan. You are responsible for their compliance with these Terms.
4. Pricing and Payment
4.1. Subscription Plans
Controlata offers the following subscription plans:
Starter Plan
- $39 per month when billed monthly
- $34 per month when billed annually ($408 per year)
- 500 materials
- 250 products
- 2 users
- 1 storage location
- 14-day trial period
Business Plan
- $79 per month when billed monthly
- $69 per month when billed annually ($828 per year)
- 1500 materials
- 750 products
- 5 users
- 3 storage locations
- Sub-assemblies functionality
- 14-day trial period
Professional Plan
- $149 per month when billed monthly
- $129 per month when billed annually ($1,548 per year)
- 4000 materials
- 2000 products
- 10 users
- 5 storage locations
- Sub-assemblies functionality
- Invoice billing option
- 14-day trial period
Enterprise Plan
- Custom pricing based on your specific needs
- For businesses that require more materials, products, users, or storage locations than the Professional plan offers

4.2. Payment Methods
4.2.1. We accept the following payment methods:
- Credit cards (Visa, Mastercard, American Express) for all plans with both monthly and annual billing
- PayPal (available only for Professional and Enterprise plans with annual billing)
- Bank transfers (available only for Professional and Enterprise plans with annual billing)
4.2.2. For subscription plans, payment is processed automatically according to your selected billing cycle. By providing your payment information, you authorize us to charge the applicable subscription fees to your payment method.
4.2.3. For bank transfers, we will send you an invoice with our banking details. Your subscription will be activated once we confirm receipt of your payment.
4.3. Free Trial
4.3.1. We offer a 14-day free trial with full access to all features. No payment information is required to start your trial.
4.3.2. At the end of your trial period, you must choose a subscription plan to continue using the Service. If you do not subscribe, your account will be suspended, but your data will be retained for 30 days, after which it may be deleted.
4.4. Price Changes
4.4.1. Controlata reserves the right to change subscription fees by posting new rates on our website and notifying Customers by email at least 30 days before the changes take effect.
4.4.2. Price changes will not affect current subscription periods that have already been paid. New prices will apply upon your next renewal.
4.5. Refunds
4.5.1. Subscription fees are non-refundable except in the following circumstances:
- If you experience significant service unavailability (more than 24 consecutive hours) due to our systems, you may be eligible for a prorated refund or service credit for the affected period.
- If you are charged multiple times for the same subscription period due to a technical error, the duplicate charges will be refunded.
4.5.2. If you cancel your subscription, you will not receive a refund for the unused portion of your current billing period and your account will remain active until the end of your current billing period.
4.5.3. To request a refund, contact our support team at [email protected] within 7 days of the applicable event with your account information and the reason for your request.
4.5.4. Refunds will be processed to the original payment method used for the purchase. Bank transfer refunds may take up to 10 business days to process.
4.5.5. Controlata reserves the right to make the final decision regarding all refund requests.

5. Subscription Changes and Cancellation
5.1. You may upgrade your subscription plan at any time. The new subscription fees will be prorated for the remainder of your current billing cycle.
5.2. Downgrading your subscription plan is only available at the end of your current billing cycle, provided your usage meets the limitations of the new plan.
5.3. You may cancel your subscription at any time through your account settings dashboard. Upon cancellation:
- Your account will remain active until the end of your current billing period.
- You will not receive a refund for the unused portion of your current billing period.
- After your billing period ends, you will lose access to the service.
- After 30 days, your data may be permanently deleted from our systems.
6. Customer Data and Confidentiality
6.1. “Customer Data” means all information, data, and materials that you upload, submit, or otherwise transmit to or through the Service.
6.2. You retain all rights to your Customer Data. Controlata does not claim ownership of your Customer Data.
6.3. You grant Controlata a limited license to use your Customer Data solely for the purpose of providing the Service to you, improving the Service, and as otherwise permitted by our Privacy Policy.
6.4. Controlata treats all Customer Data as confidential and will not disclose it to third parties except:
- With your consent
- To our service providers who need access to provide the Service and who are bound by confidentiality obligations
- If required by law, regulation, or legal process
6.5. Controlata implements reasonable technical and organizational measures to protect the security and confidentiality of your Customer Data.
7. Data Protection and Privacy
7.1. Controlata processes personal data in accordance with our Privacy Policy, which is available at controlata.com/privacy and is incorporated by reference into these Terms.
7.2. Our Privacy Policy details how we collect, use, share, and protect your personal information, including:

- Your privacy rights
- Data retention practices

- International data transfers
7.3. Controlata performs regular backups of all Customer Data to ensure data recovery in case of system failures.
7.4. You are responsible for ensuring that your collection and use of personal data through the Service complies with applicable data protection and privacy laws.
8. Intellectual Property
8.1. The Service, including all of its components, features, and functionality, is owned by Controlata and is protected by copyright, trademark, and other intellectual property laws.
8.2. These Terms do not grant you any rights to use Controlata’s trademarks, logos, domain names, or other distinctive brand features without our prior written consent.
8.3. You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
9. Limitation of Liability
9.1. To the maximum extent permitted by applicable law, in no event shall Controlata be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
9.2. Controlata’s total liability for any claim arising from or relating to these Terms or the Service shall not exceed the amount paid by you to Controlata during the twelve (12) months preceding the claim.
9.3. The limitations of liability in this section apply to claims regardless of their basis, including but not limited to breach of contract, tort (including negligence), statute, or any other legal theory.
10. Term and Termination
10.1. These Terms will remain in full force and effect while you use the Service or maintain an account.
10.2. You may terminate these Terms at any time by canceling your subscription and ceasing all use of the Service.
10.3. Controlata may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
10.4. Upon termination, your right to access and use the Service will immediately cease. Controlata may delete your account and all associated data after a retention period of 30 days.
10.5. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Service Level and Support
11.1. Controlata will make commercially reasonable efforts to ensure the Service is available 24 hours a day, 7 days a week, except for planned maintenance.
11.2. Controlata provides customer support via email and in-app chat during standard business hours. Response times are not guaranteed but we strive to address all inquiries within 24 hours.
11.3. Controlata may modify features and functionality of the Service at any time. Controlata will provide notice of material changes through the Service or by email.
12. Communication
12.1. By using our Service, you consent to receive communications from us electronically, including emails, in-app notifications, and messages posted to your account.
12.2. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
12.3. To opt out of marketing communications, you can click the “unsubscribe” link in our emails or contact us at [email protected].
13. Force Majeure
13.1. Controlata shall not be liable for any failure to perform its obligations under these Terms if such failure is due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, accidents, or strikes.
14. Governing Law and Dispute Resolution
14.1. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Controlata is established, without regard to its conflict of law provisions.
14.2. Any dispute arising from or relating to these Terms or the Service shall first be resolved through good faith negotiations. If the dispute cannot be resolved through negotiations within 30 days, it shall be resolved by arbitration in accordance with the rules of the International Chamber of Commerce.
15. Miscellaneous
15.1. Controlata may modify these Terms at any time by posting the revised Terms on the website and notifying you through the Service or by email. Your continued use of the Service after such notification constitutes your acceptance of the changes.
15.2. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
15.3. The failure of Controlata to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
15.4. These Terms constitute the entire agreement between you and Controlata regarding the Service and supersede all prior agreements and understandings, whether written or oral.
15.5. You may not assign or transfer these Terms, by operation of law or otherwise, without Controlata’s prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void.
15.6. Controlata may assign or transfer these Terms, at its sole discretion, without restriction.
